Terms of service
If this English version and the Spanish version ever differ, the Spanish version controls.
Version 1.0, effective October 30, 2026, until a new version is published. These terms apply to every service arista. provides. If the signed proposal says something different on a specific point, the proposal controls.
1. Who provides the service
The service is provided by Argenis Isai López Robles, an individual with an address for notices at Paseo de los Alerces 1075, Tabachines, Zapopan, Jalisco, México, operating under the trade name arista. ("arista."). Argenis López is solely responsible to the Client. Any technical collaborators who take part work under his direction and responsibility, and they are not parties to this contract. Contact: hola@punto-arista.com. The person or company that hires arista. is the "Client" and states that it is hiring for its professional or business activity.
2. How you hire us
The 20-minute diagnostic is free and does not oblige you to hire. Afterwards, arista. sends a written proposal with scope, deliverables, price, timelines and conditions. The proposal is valid for 15 calendar days. The contract is accepted when the Client signs the proposal and pays the deposit. An electronic signature and acceptance by email or WhatsApp are as valid as a handwritten signature.
3. Scope and changes
The scope is whatever the proposal says. Anything not listed as a deliverable or as included is out of scope. If the Client asks for something new, arista. quotes it in writing and, if accepted, adjusts the price and the schedule before doing it. Doing something "quickly" outside the scope does not oblige arista. to repeat it and does not make it part of the service.
4. What the Client must do
- Provide administrator access, truthful and complete information, and templates or texts when the project requires them.
- Name a person who responds and validates within the timelines in the proposal.
- Buy and pay for the licenses, plans and costs of third-party platforms (Make, monday.com, WhatsApp Business API, invoice stamps, payment gateways and similar) on its own account.
- Have its own clients' authorization to process their data and to message them by WhatsApp or email, and have its own privacy notice.
- Comply with the policies of the platforms used, including Meta and WhatsApp. arista. does not set up mass advertising or messages to people who do not expect them.
5. Price, payment and invoicing
Prices are in Mexican pesos and VAT is added. Payment is 50% on signing and 50% on approval of the final validation, unless the proposal says otherwise. Payment is by SPEI transfer or Clip. arista. issues a CFDI for each payment, and the Client must provide complete tax data before the first payment. Monthly fees are paid in advance within the first 5 days of each month. If a payment is more than 5 calendar days late, arista. may pause the work or the monthly service until it is brought current, without liability for the delays or failures that result.
6. Timelines
The timelines in the proposal start when the deposit is paid and access is delivered. If the Client is slow to respond, approve or provide information, the schedule moves by the same amount of time. arista. is not responsible for delays by third parties outside its control, such as Meta verification, the SAT, stamping providers or payment gateways, and it tells the Client as soon as it detects them.
7. Validation and acceptance
Each project ends with a validation against the criteria written in the proposal. The Client has 5 business days from receiving the deliverable to test it and report in writing anything that does not comply. arista. fixes at no cost whatever is within scope. If the Client does not respond within that period, the deliverable is deemed accepted. Once the deliverable is accepted, the final payment falls due.
8. Support and monthly fee
After delivery there are 30 days of support at no cost for usage questions and configuration errors. The monthly fee, when the product includes one, starts when those 30 days end and covers fixing failures, small adjustments and a monthly review of results. It does not cover new workflows, scope changes, additional training or the day-to-day operation of the system, which is the Client's responsibility. arista. responds within the times in the timelines section. The Client may cancel it under clause 15: the system stays theirs, but later fixes are quoted. arista. may adjust the monthly fee with 30 days' written notice.
The systems depend on third-party platforms that can change their rules, prices or features without notice. arista. does what is reasonable to adapt the system, but does not guarantee the continuous availability of those platforms. If a change requires work outside the monthly fee, it is quoted.
9. Use of artificial intelligence
AI agents and automations can give answers that are wrong, incomplete or out of place. The Client decides what the agent may answer and what must go to a person, and is responsible for supervising it. AI does not replace medical, psychological, legal, tax or financial advice, and must not be used to make decisions with legal or health effects on a person without human review. Messages are processed with a language model provider, named in the project proposal.
10. Intellectual property
The Client keeps ownership of its data, brand, content and business information. Once the full project price is paid, arista. assigns to the Client the economic rights in the deliverables developed specifically for it, and that assignment is recorded in writing in the signed proposal. arista. keeps ownership of its prior material, internal tools, templates, reusable components, methodology and general knowledge, and grants the Client a non-exclusive license to use any of that material that forms part of the deliverable. Third-party platforms are governed by their own terms.
11. Confidentiality
Each party keeps confidential the other's non-public information that it receives through the service, uses it only for the service, and protects it with reasonable care. Information that is already public, that the party already knew, or that must be disclosed by order of an authority is not confidential. The obligation lasts 2 years after the relationship ends, and has no time limit for personal data. arista. does not use the Client's name, logo or results in promotional materials without written authorization, unless the proposal agrees to it as a condition of a discount.
12. Personal data
For the data of the Client's own customers, the Client is the controller and arista. acts as processor. arista. processes that data only to provide the service and following the Client's instructions, applies reasonable security measures, does not transfer it or use it for other purposes, tells the Client without delay if it detects a breach affecting it within 72 hours, and returns or deletes it at the end of the service if the Client asks. The Client authorizes arista. to use as providers Google, Make, n8n, Meta, the management tools the project requires, cloud hosting services and, in AI projects, a language model provider, some of which store data outside Mexico. arista. may rely on technical collaborators under confidentiality, and Argenis López remains responsible to the Client.
arista. does not design or operate systems to store medical records, diagnoses, reasons for consultation or other sensitive personal data. Scheduling and follow-up systems handle name, phone number, email and appointment details. If the Client loads that kind of information on its own, it does so at its own risk.
The Client's own personal data is governed by arista.'s privacy notice.
13. Limits of the service
arista. does not provide brand design, social media management, paid advertising campaigns, network or hardware support, or legal, tax, accounting or medical advice. It does not quote platforms it does not know well. If the Client needs any of those services, arista. may refer it to independent third parties and, if it receives a commission for doing so, tells the Client before it hires them.
14. Warranties and liability
arista. provides the service with professional diligence and commits to fixing whatever does not meet the proposal. It does not guarantee specific business results, such as a sales figure or an exact number of hours saved, because they depend on how the Client operates. To the extent the law allows, arista.'s total liability to the Client does not exceed what the Client paid for the service that gave rise to the claim in the preceding 12 months, and arista. is not liable for loss of profit, loss of opportunity or indirect damages. This does not limit liability for willful misconduct.
15. Term and termination
Setup projects end with delivery and the final payment. Monthly fees last until either party cancels with 30 days' written notice. Either party may terminate immediately for the other's serious breach that is not cured within 10 calendar days of notice. On termination, arista. hands over the documentation and the access it controls. Amounts already earned are paid. The deposit is not refunded once work has started, and delivered setup is not refunded.
16. Third parties and events beyond control
arista. is not liable for failures caused by provider outages, internet or power cuts, changes in platform policies, cyberattacks not caused by its negligence, or other causes beyond its reasonable control.
17. Relationship between the parties
arista. provides services independently. There is no employment relationship, partnership or exclusivity between the parties, and neither can bind the other before third parties.
18. Communications
The parties may communicate by WhatsApp and email. Formal notices (cancellation, breach, price change) are sent by email to the addresses each party gave in the proposal, and changes to the contract must be in writing, including by email.
19. Changes to these terms
arista. may update these terms and publishes them at punto-arista.com. Contracts already in force are governed by the version that was published when they were signed.
20. Governing law and jurisdiction
The federal laws of Mexico apply. Before going to court, the parties try to resolve the dispute by direct negotiation for 15 calendar days. If that fails, they submit to the competent courts of Guadalajara, Jalisco, and waive any other forum that might apply because of their domicile.
